In Enron=01,s continuing commitment to maximize both our financial and=20
intellectual capital, the Office of the Chairman announced yesterday=20
afternoon that the CALME group was being reorganized, including the transfe=
r=20
of the management of its Colombia and Venezuela businesses to Enron South=
=20
America. Enron=01,s success has been in large part because of its innovatio=
n and=20
ability to identify new businesses that allow us to create ROE faster with=
=20
less capital investment. At ESA we have started to implement these new=20
business paradigms and this restructuring creates new opportunities for our=
=20
business unit.=20

Today, our management team is proud to officially welcome Colombia and=20
Venezuela into our business unit. Enron currently has commercial offices i=
n=20
each of these countries and other investments:

Colombia
Located in Bogot?, Enron's Colombia office focuses on identifying and=20
developing new business opportunities. In addition, this office is=20
responsible for managing the company's participation in two operating units=
,=20
Promigas (Colombia=01,s premier natural gas pipeline operator) and Centraga=
s=20
(Enron=01,s first greenfield international pipeline development project).

Venezuela
Enron Venezuela, Ltd. is located in Caracas, Venezuela and focuses on=20
identifying and developing new business opportunities for Enron. In additio=
n,=20
it manages and supports its operating units in the country, including Venga=
s=20
(Venezuela=01,s leading transporter and distributor of LPG, serving more th=
an=20
2.5 million of Venezuela=01,s industrial, commercial and residential consum=
ers),=20
the electricity distribution company of Puerto Cabello, CALIFE, ACCROVEN (t=
he=20
company that has the 20-year contract to build, own and operate natural gas=
=20
liquids facilities) and Bachaquero III, a compression facility that began=
=20
operation in early 1998.

The operating companies will become part of the Generation & Pipeline=20
business unit, under the direction of Pete Weidler. Lewis May will have=20
responsibilities for Promigas and Centragas. Together we will make this a=
=20
smooth and transparent transition, not only internally, but also with our=
=20
customers, partners and other stakeholders.=20
