We have received an executed Second Amendment to ISDA Master Agreement dated as of October 3, 2001 between Bank of America, N.A. and Enron North America Corp., which amendment amends the Part 4©(ii) of the Schedule which states that Bank of America is a multibranch party and may act through the Offices set forth on Appendix A - Amendments.
