Coastal Merchant Energy, L.P.

We have received the Second Amendment to ISDA Master Agreement between Engage
Energy US, L.P., now known as Coastal Merchant Energy, L.P. and ENA dated
10/5/00. This amendment makes certain credit changes to the agreement,
including, but not limited to, changing Counterparty's Guarantor from UEI
Holdings Inc., formerly know as Union Energy Inc. ("UEI") to The Coastal
Corporation ("Coastal"). Copies of this Amendment and the new guarantees
issued in connection therewith will be distributed.
