The National Westminster Bank plc ("NWB") transactions will be assigned to = The Royal Bank of Scotland plc ("RBS"). However, RBS and ENA are "deemed"= to have entered into and ISDA Master Agreement that replicates the January= 1, 1994 NWB/ENA ISDA Master Agreement. The assigned transactions will not= be governed by the ISDA Master Agreement between ENA and RBS dated Decembe= r 10, 1999 (the "RBS Master"). The RBS Master will be terminated.=20 Samantha M. ("ENA"). Effective as of Octobe= r 26, 2001 (the "Commencement Date"), NWB assigned all of its right, title = and interest in the transactions under the ISDA Master Agreement dated Janu= ary 1, 1994 to RBS. All assigned transactions shall be governed by the ter= ms and conditions under the ISDA Master Agreement between ENA and RBS dated= December 10, 1999.
