We have received an executed First Amendment to Master Agreement by and
between Enterprise Products Operating L.P. ("Enterprise") and Enron North
America Corp. ("ENA") dated effective as of May 20, 2001, which amends the
collateral threshold for both parties and the Enron Corp. Guaranty.
