We have received an executed Assignment and Assumption Agreement effective as
of February 23, 2001, by and among Gas Natural Mexico, S.A. de C.V., Gas Natural Servicios, S.A. de C.V. and Enron Corp. This Assignment and Assumption Agreement assigns the Enron Corp. Guaranty originally issued in favor of Gas Natural Mexico, from Gas Natural Mexico to Gas Natural Servicios. Copies will be distributed. Stephanie Panus
