Marketing Corporation ("Assignee") and Houston Pipe Line Company

2. Assignment and Assumption Agreement dated as of December 29, 1999 by and
among Aquila Energy Marketing Corporation ("Assignor") and Aquila Risk
Management Corporation ("Assignee") and Enron North America Corp.

3. Assignment and Assumption Agreement dated as of December 29, 1999 by and
among Aquila Canada Corporation ("Assignor") and Aquila Energy Marketing
Corporation ("Assignee") and Enron North America Corp.
