Subject: FW: New Exhibit C


Here is the latest version of exhibit C, the fixed spec, which now includes
the correction factor discussion. I assumed that this was sent with the
contract draft that Jackie sent to Kay later that day, but it apparently
wasn't. Note that the message refers to a new draft of the test protocol,
which is the one I sent out on 11/22/00.

< Joe Debs and I had a conference call with the Enron tech folks Thursday
< night to discuss their comments on our Test Protocol. We agreed to some
< changes which I will issue a draft of early this week. During the call
< they pointed out that the protocol refered to Performance Correction
< factors, but that we had never established the Basis Points which those
< correction factors are meant to adjust to. In other words the contract
< needs a place where we state that performance is based on operation at sea
< level, 60 degress, etc. We all agreed that the fixed spec (Exhibit C) was
< a good place to put this. I went ahead and did that, and it also occurred
< to me that this is also where our performance correction statements could
< go. So the attached file is a new Exhibit C incorporating the site and
< basis conditions, the correction factors, and Enron's comments on the old
< short Exhibit C (delete the word "prefered" in the Stack Height section,
