Subject: Purchase Price Adjustment

Attached please find a worksheet containing the post closing adjustment to
the Purchase Price as provided in Section 2.5 of the Purchase and Sale
Agreement between Enron North America Corp and NBP Energy Pipelines, L.L.C.
dated September 21, 2000 (the "Purchase Agreement") . This will confirm that
the Final Settlement Date as defined in the Purchase Agreement will be
thirty days from December 1, 2000.
