Gerald - Sorry for the delay.
ENA has an executed agreement with Entergy for the Everest II re Possible
sale to Entergy of certain of ENA's power generation assets in consideration
for, amongst other things, the conveyance to Ena of the restructuring rights
to Entergy's interests in the Bellingham, Sayerville and Cherokee projects
owned by FPL Energy, L.L.C.

It is bilateral and expires August 11, 2001
