We have received an executed First Amendment to Master Agreement effective as
of November 1, 2000, which amends the definition of Material Adverse Change by changing the Total Debt to Net Work ratio from "1.5 to 1.0" to "2.0 to 1.0". Copies will be distributed. Samantha M. Boyd Sr. Legal Specialist
