I think, if memory serves me correctly, I think I was generally ok with the language except for the proviso at the end because we do not know what your internal policies are and how you would evaluate the assignee. It basically strips out the right because it still leaves us subject to Enron's caprice. Could you perhaps give me a better sense as to what the criteria would be? In our case, however, there is no gty, hence the stipualtion that such assignment must be to an entity with an equal or better credit rating. If you wish, I can limit such assignment to an entity rated at least BBB+ or better.
