Subject: Pending Issues

Priority schedule for Brent and Andrea, as of Tuesday August 3rd.
Here is the order we will work on documents and issues:

1. Preparing response to Neuquen request for additional stamp taxes (to be
sent out today)
2. Renault gas termsheet (John reviewing final draft)
3. Central Puerto 10 year gas termsheet (Gaby reviewing final draft with
Guillermo's comments)
4. Gas contract for Ferrum (John to review final draft)
5. Refineria San Lorenzo (parties have agreed on final form, last draft to
be sent today)
6. Quintana long term deal (cp reviewing stamp tax letter)(cp has sent
comments on draft for our review)
7. Quintana short term deal (cp reviewing stamp tax letter)(cp has sent
comments on draft for our review)
8. Answer Beth Rosen's tax question on legal status of ECEASA if it doesn't
pay taxes pending award of tax exemption (review Steve's lawsuit issues for
relevance to our request for exemption)
9. Preparing new response and documents to be sent to ENARGAS (to be sent
out on Wednesday)
10. Review YPF confidentiality agreement for offtake side of prepay. 11.
Central Puerto Power swap (Scott Neal to readjust deal ticket and new
confirm to be prepared today)
12. Review of status of EPCA in purchasing and selling natural gas (answer
for Guille)
13. Brazil power trade (Brent to co-ordinate with Andrea Bertone)

We will try to get to all the priorities, but will not likely be able to
complete everything today. If anyone wants to change the order of priorities
or add to the list please let me know so we can discuss our schedule.

We are waiting for comments on the following documents which are listed in no
particular order:
1. Preparation of modification to Bagley addendum for delivery after payment
(Bagley reviewing proposal)
2. Y2K mission critical plan and meetings (Brent to co-ordinate)
3. Total MOU for Austral Basin (Waiting for executed copies to come back
from cp)
4. Vandenfil (waiting for financials)
5. Minera Alumbrera power swap or power sale (waiting for further
information on proposal)
6. VW gas termsheet (Draft prepared that needs review, now on hold) 7.
Bagley meeting to discuss ENARGAS issue (John to arrange for Andrea and
Guillermo to be a part of meeting)
8. Power offer for ICI (sent to cp for review)
9. Seeking return of final portion of deposit on Scott Porter's and Bill
Butler's apartments.
10. YPF on new stamp tax proposal (pending execution)
11. Cenral Puerto MOU (sent to cp for final sign off)(Gaby recieved comments?)
12. Preparing drafts for possible restructuring for four Demand Marketing
customers (sent to cp for review)
Power offer for Ferrum (final offer sent yesterday)
Preparing extension of PDA contract (on hold pending pricing)

I am also still working on another draft of the Broker Agreement format but
it is low on my priority list at the moment. ECT is also in the process of
a trading contract audit which we will participate in (this will give us an
opportunity to try and finalise our various contract forms for review in
Houston). Based on comments from Guillermo Canovas and EI litigation
managers I need to review the dispute resolution provisions in all our
contracts.
